ReVIBES Project オークション規約
前文
本オークション規約は、株式会社TANGLEが運営する『ReVIBES Project』（以下『当プロジェクト』といいます。）のオークションサービス（以下『本オークション』といいます。）の利用条件を定めるものです。本オークションを利用するユーザーは、本オークション規約、総合規約、プライバシーポリシー、特定商取引法に基づく表示、各作品ページの個別条件に同意したうえで入札するものとします。
第1条（適用関係）
1. 本オークション規約は、本オークションに入札、落札、購入その他利用するすべてのユーザーに適用されます。
2. 本オークション規約と総合規約が矛盾する場合、本オークションに関しては本オークション規約が優先します。
3. 各作品ページ、落札通知、販売案内等に個別条件がある場合、当該個別条件が優先します。
第2条（参加資格）
1. 本オークションに参加するには、当プロジェクト所定のユーザー登録を完了し、本規約に同意する必要があります。
2. 未成年者が入札する場合、親権者その他法定代理人の同意が必要です。
3. 当プロジェクトは、高額作品、海外配送、銀行振込、その他必要と判断する場合、本人確認書類、住所確認書類、支払能力確認、反社会的勢力・制裁対象者確認、不正利用防止のための追加確認を求めることがあります。ユーザーがこれに応じない場合、当プロジェクトは入札、落札または取引を拒否または取消すことができます。
第3条（出品作品）
1. 当プロジェクトは、作品名、アーティスト名、原著作物・原著作者、サイズ、素材、エディション、制作年、証明書、状態、開始価格、リザーブ価格の有無、入札期間、支払条件、配送条件その他必要事項を、必要に応じて作品ページに掲載します。
2. 作品画像、説明、寸法、色味、質感等は実物を完全に再現するものではありません。ユーザーは、作品ページ、コンディション情報、規約、個別条件を確認したうえで入札するものとします。
3. 当プロジェクトは、権利上の問題、作品状態、掲載情報の誤り、システム障害、出品者・権利者・アーティストとの調整、その他やむを得ない事由がある場合、出品、入札受付、落札、販売を取消し、延期し、または条件を変更することができます。
第4条（入札方法）
1. 入札は、本オークションサイトにログイン後、作品ページの入札画面から希望する最大入札額を入力する方法により行います。
2. 本オークションは、原則として自動入札方式により実施します。ユーザーが入力した最大入札額を上限として、他の入札状況に応じ、システムが必要な範囲で現在価格を自動更新します。
3. 入札は、送信後に取消しまたは撤回できません。ユーザーは、入札前に金額、作品、支払方法、配送条件、知的財産権の取扱いを十分に確認するものとします。
4. システム障害、通信遅延、誤表示、不正入札その他当プロジェクトが必要と判断する事由がある場合、当プロジェクトは入札を取消し、または再入札・再オークションを実施することがあります。
第5条（入札単位）
入札単位は、原則として以下のとおりです。ただし、作品ページまたはシステム上で別の入札単位が表示される場合は、その表示が優先されます。

第6条（リザーブ価格）
1. 作品には、最低落札価格（リザーブ価格）が設定される場合があります。
2. 最高入札額がリザーブ価格に達しない場合、当該作品は落札不成立となることがあります。
3. リザーブ価格の有無または金額は、作品ページで明示する場合を除き、非公開とすることがあります。
第7条（自動延長）
1. 本オークションは、作品ページに別途表示がない限り、自動延長を行いません。
2. 作品ページに自動延長条件が表示される場合、終了予定時刻前の一定時間内に入札があったとき、当該条件に従って終了時刻が延長されます。
3. 終了時刻付近の通信遅延、アクセス集中、端末不具合等により入札できなかった場合でも、当プロジェクトは責任を負いません。
第8条（落札確定）
1. 入札期間終了時点で有効な最高入札額を提示し、かつリザーブ価格その他個別条件を満たしたユーザーを落札候補者とします。
2. 当プロジェクトは、入札状況、不正利用の有無、支払能力、本人確認、権利上・運営上の問題その他必要事項を確認したうえで、落札者を確定します。
3. 落札の確定は、当プロジェクトから落札者に対して落札確定通知を発信した時点で行われます。
4. 落札確定後であっても、重大な誤表示、システム障害、不正入札、権利上の問題、作品状態の重大な変化、決済不能その他当プロジェクトが取引継続を不適切と判断する事由がある場合、当プロジェクトは落札または売買契約を取消すことができます。
第9条（売買契約の成立）
1. 作品の売買契約は、当プロジェクトが落札確定通知を落札者に発信した時点で成立します。
2. 落札者は、落札確定通知、作品ページ、請求書その他当プロジェクトが指定する内容に従い、落札代金、消費税、落札手数料、海外配送費、保険料その他明示された費用を支払う義務を負います。
3. 落札者が支払期限までに支払いを完了しない場合、当プロジェクトは売買契約を解除し、落札を取消し、次順位入札者を落札候補者とする場合や、再オークションを実施する場合がございます。
第10条（支払条件）
1. 入札価格は、作品ページに税込表示または税抜表示を明示します。税抜表示の場合、落札者は落札金額に落札手数料（バイヤーズ・プレミアム）と消費税額を加算した金額を支払います。
2. 支払方法は、クレジットカード決済、銀行振込その他当プロジェクトが指定する方法とします。
3. クレジットカード決済は、落札確定後、登録済みカードにて決済します。決済に失敗した場合、落札者は当プロジェクトの案内に従い、原則として落札確定通知から48時間以内に支払いを完了するものとします。
4. 銀行振込の場合、振込手数料は落札者の負担とします。
5. 海外配送、特別梱包、保険、通関、関税、輸入税、VAT、現地手数料その他国内通常配送以外の費用は、別途明示される場合を除き落札者の負担とします。
第11条（作品の引渡し・所有権移転）
1. 当プロジェクトは、落札代金その他支払うべき金額の入金確認後、原則として30営業日以内に、作品を当プロジェクト指定の配送方法により発送します。
2. 作品の仕様、額装、梱包、証明書発行、展示予定、配送業者の状況、天候、災害、通関、法令・権利確認その他やむを得ない事由により、発送時期が変更される場合があります。
3. 作品の所有権は、落札者が支払うべき金額の全額を支払い、当プロジェクトが作品を落札者または落札者指定の受取人に引き渡した時点で、落札者に移転します。
4. 作品の滅失・破損リスクは、落札者または落札者指定の受取人が作品を受領した時点で、落札者に移転します。配送中の破損が疑われる場合、落札者は受領後速やかに当プロジェクトおよび配送業者へ連絡するものとします。
第12条（返品・キャンセル）
1. アート作品という商品の特性上、落札後のキャンセル、返品、交換は原則としてできません。
2. 前項にかかわらず、申し込まれた作品と異なる作品が届いた場合、配送中の重大な破損が確認された場合、または当プロジェクトが作品の真正性・正規許諾に重大な問題があると判断した場合、当プロジェクトは、修補、交換、返品、返金その他合理的な対応を行います。
3. 落札者は、前項の対応を希望する場合、作品受領後7日以内に、作品名、注文番号、状態が分かる写真、梱包状態の写真、配送伝票その他当プロジェクトが求める資料を添えて当プロジェクトに連絡するものとします。
4. 制作上の痕跡、素材固有の質感、微細な差異、経年変化、閲覧環境による色味差、額装・梱包の軽微な状態差等は、返品・交換の対象となりません。
第13条（真正性・証明書）
1. 当プロジェクトは、当プロジェクトにおいて販売する作品が、原著作者、アーティストその他必要な権利者との契約・許諾に基づく正規許諾作品であることを保証します。
2. 作品には、Certificate of Authenticity（COA）、エディション番号、刻印、署名、管理番号その他作品の真正性または管理に関する情報が付される場合があります。
3. 落札者は、COA、付属品、梱包材、説明書等を作品とあわせて保管し、二次流通時には可能な限り作品とともに引き渡すものとします。
4. 当プロジェクトは、作品の将来価値、市場価格、二次流通価格、換金性、投資収益その他経済的価値を保証しません。
第14条（知的財産権）
作品の落札または購入により落札者に移転する権利は、作品の有体物としての所有権または当該エディション個体の保有権に限られます。原著作物、キャラクター、作品画像、アーティスト作品、題号、ロゴ等に関する著作権、商標権、商品化権、複製権、翻案権、デジタル化権、NFT化権、広告宣伝利用権その他の知的財産権は落札者に移転しません。詳細は総合規約第11条に従います。
第15条（二次流通）
1. 落札者は、コレクション整理その他適法な二次流通として、作品を再販売することができます。
ただし、ReVIBES
Projectでは、作品価値、ブランド保護および健全な市場形成の維持を目的として、一部作品について、落札日または購入日から6ヶ月間の営利目的による再販売（オークション出品、第三者への販売、転売等）を制限する場合があります。対象作品および適用条件については、各作品ページ、販売ページまたは販売時に個別に表示されます。
2. 再販売にあたって、落札者は、著作権、商標権、原著作権、画像利用権、商品化権その他の知的財産権が購入者へ移転したかのような表示または説明を行ってはなりません。また、真正性、エディション、来歴、権利関係等について誤認を生じさせる表示または販売行為を行ってはなりません。
3. 落札者は、作品、原著作者、権利者、アーティスト、ReVIBES Projectまたは関連法人・関係者の信用、名誉またはブランド価値を毀損する態様での販売行為、短期的な価格操作、投機目的による連続転売、その他当プロジェクトが合理的理由に基づき不適切と判断する転売行為を行ってはなりません。
4. 再販売時には、真贋証明書（COA）、証明書、付属資料その他作品に付随する関連物を、可能な限り作品とあわせて適切に取り扱うことを推奨します。
5. 当プロジェクトは、当プロジェクトの広報、アーカイブ、二次流通支援、市場形成のため、作品情報、販売記録、落札価格、画像等を利用することができます。ただし、落札者の個人情報を本人の同意なく公表することはありません。
第16条（不正入札等への対応）
当プロジェクトは、価格操作、吊り上げ、談合、なりすまし、支払意思のない入札、同一人物による複数アカウント利用、反社会的勢力または制裁対象者との関連、不正アクセス、システム妨害その他不正または不適切な行為が疑われる場合、入札取消、落札取消、利用停止、登録取消、本人確認、関係機関への通報、損害賠償請求その他必要な措置を講じることができます。
第17条（免責）
1. 当プロジェクトは、通信障害、アクセス集中、システム障害、決済障害、配送障害、外部サービス障害、ユーザーの端末・通信環境等、当プロジェクトの管理外の事由により入札、落札、決済、配送その他本オークションの利用に支障が生じた場合でも、当プロジェクトの故意または重過失による場合を除き責任を負いません。
2. 当プロジェクトは、必要と判断した場合、オークションの中止、延期、再開、再実施、入札取消、落札取消を行うことができます。
第18条（準拠法・管轄）
本オークション規約の準拠法は日本法とし、本オークションに関して当プロジェクトとユーザーとの間で紛争が生じた場合、東京地方裁判所または東京簡易裁判所を第一審の専属的合意管轄裁判所とします。

Preamble
These Auction Rules establish the terms and conditions governing the auction services (the “Auction”) operated by ReVIBES Project (the “Project”), managed by TANGLE Inc. Users participating in the Auction shall place bids only after agreeing to these Auction Rules, the General Terms and Conditions, the Privacy Policy, disclosures pursuant to the Act on Specified Commercial Transactions, and the Individual Conditions set forth on each artwork page.
Article 1 (Application)
1. These Auction Rules apply to all Users who bid on, win, purchase, or otherwise use the Auction.
2. In the event of any conflict between these Auction Rules and the General Terms and Conditions, these Auction Rules shall prevail with respect to the Auction.
3. Where Individual Conditions are specified on artwork pages, winning notices, sales notices, or similar materials, such Individual Conditions shall prevail.
Article 2 (Eligibility)
1. Participation in the Auction requires completion of user registration in accordance with the procedures designated by the Project and agreement to these Rules.
2. Minors may participate only with the consent of a parent or other legal guardian.
3. For high-value artworks, international shipping, bank transfers, or other circumstances deemed necessary, the Project may require identity verification documents, address verification, proof of payment capability, anti-social force and sanctions screening, or additional checks for fraud prevention. If a User fails to comply, the Project may reject or cancel bids, successful bids, or transactions.
Article 3 (Auctioned Artworks)
1. The Project shall, as necessary, post on the artwork page the title of the work, artist name, Original Work and Original Author, size, materials, edition, year of production, certificate, condition, starting price, whether a reserve price has been set, bidding period, payment terms, delivery terms, and any other necessary matters.
2. Artwork images, descriptions, dimensions, colors, and textures may not perfectly reproduce the actual artwork. Users shall review artwork pages, condition information, these Rules, and Individual Conditions before placing bids.
3. The Project may cancel, postpone, or modify listings, bid acceptance, successful bids, or sales due to rights-related issues, artwork condition concerns, publication errors, system failures, coordination with sellers, rights holders, or artists, or other unavoidable circumstances.
Article 4 (Bidding Method)
1. Bids shall be placed by logging into the Auction website and entering the desired maximum bid amount through the bidding screen on the artwork page.
2. The Auction generally operates using an automatic bidding system. The system will automatically increase the current bid price as necessary in response to competing bids, up to the maximum amount entered by the User.
3. Once submitted, bids cannot be canceled or withdrawn. Users shall carefully confirm the amount, artwork, payment method, shipping conditions, and intellectual property terms before bidding.
4. In the event of system failures, communication delays, display errors, fraudulent bidding, or other circumstances deemed necessary by the Project, the Project may cancel bids or conduct re-bidding or re-auctions.
Article 5 (Bid Increments)
Bid increments shall generally be as follows. However, where different increments are displayed on artwork pages or within the system, such displayed increments shall prevail.

Article 6 (Reserve Prices)
1. Certain artworks may have a minimum sale price (reserve price).
2. If the highest bid does not reach the reserve price, the artwork may remain unsold.
3. Unless expressly disclosed on the artwork page, the existence or amount of the reserve price may remain confidential.
Article 7 (Automatic Extension)
1. Unless otherwise stated on the artwork page, the Auction will not be automatically extended.
2. Where automatic extension conditions are displayed, the closing time shall be extended in accordance with those conditions if a bid is placed within a specified period before the scheduled end time.
3. The Project shall not be liable if Users are unable to place bids due to communication delays, high traffic, or device malfunctions near the closing time.
Article 8 (Confirmation of Successful Bid)
1. At the end of the bidding period, the User submitting the highest valid bid and satisfying the reserve price and other conditions shall become the provisional winning bidder.
2. The Project shall confirm the winning bidder after reviewing bidding conditions, fraud prevention checks, payment capability, identity verification, and other operational or legal matters.
3. A successful bid becomes final when the Project sends a winning confirmation notice to the winning bidder.
4. Even after confirmation, the Project may cancel the successful bid or sales agreement in cases including material display errors, system failures, fraudulent bidding, rights-related issues, significant changes in artwork condition, payment failure, or other circumstances making continuation of the transaction inappropriate.
Article 9 (Formation of Sales Agreement)
1. The sales agreement for an artwork shall be formed when the Project sends a winning confirmation notice to the successful bidder.
2. The successful bidder shall pay the winning bid amount, consumption tax, buyer’s premium, international shipping fees, insurance fees, and any other disclosed charges in accordance with the winning notice, artwork page, invoice, or other instructions designated by the Project.
3. If the winning bidder fails to complete payment by the payment deadline, the Project may terminate the sales contract, cancel the award, and either designate the next-highest bidder as a prospective winning bidder or conduct a re-auction.
Article 10 (Payment Terms)
1. Bid prices will be displayed either inclusive or exclusive of consumption tax on the artwork page. If displayed exclusive of tax, the successful bidder shall pay the winning amount plus the buyer’s premium and applicable consumption tax.
2. Payment methods shall include credit card payments, bank transfers, and other methods designated by the Project.
3. Credit card payments shall be processed using the registered card after confirmation of a successful bid. If payment fails, the successful bidder shall complete payment within 48 hours from the winning confirmation notice in accordance with the Project’s instructions.
4. Bank transfer fees shall be borne by the successful bidder.
5. International shipping, special packaging, insurance, customs clearance, duties, import taxes, VAT, local fees, and other costs beyond standard domestic shipping shall be borne by the successful bidder unless otherwise stated.
Article 11 (Delivery and Transfer of Ownership)
1. After confirmation of payment of all amounts due, the Project shall generally ship the artwork within 30 business days using a shipping method designated by the Project.
2. Shipping schedules may change due to artwork specifications, framing, packaging, certificate issuance, exhibition schedules, shipping carrier conditions, weather, disasters, customs procedures, or other unavoidable circumstances.
3. Ownership of the artwork shall transfer to the successful bidder when all payable amounts have been paid in full and the artwork has been delivered to the successful bidder or designated recipient.
4. Risk of loss or damage to the artwork shall transfer to the successful bidder upon receipt by the successful bidder or designated recipient. If shipping damage is suspected, the successful bidder shall promptly notify both the Project and the shipping carrier.
Article 12 (Returns and Cancellations)
1. Due to the nature of art products, cancellations, returns, and exchanges after a successful bid are generally not permitted.
2. Notwithstanding the above, if the delivered artwork differs from the ordered artwork, significant shipping damage is confirmed, or the Project determines there is a material issue regarding authenticity or official licensing, the Project shall provide reasonable remedies including repair, replacement, return, or refund.
3. Users requesting such remedies shall contact the Project within seven days after receipt of the artwork and provide the artwork title, order number, photographs showing the condition, photographs of packaging conditions, shipping documents, and other requested materials.
4. Production traces, material textures, minor variations, aging, color differences caused by viewing environments, and slight differences in framing or packaging condition shall not qualify for return or exchange.
Article 13 (Authenticity and Certificates)
1. The Project warrants that the works sold through the Project are officially licensed works based on agreements with, and permissions from, the Original Author, the artists, and any other necessary rights holders.
2. Artworks may include Certificates of Authenticity (COA), edition numbers, engravings, signatures, management numbers, or other information relating to authenticity and management.
3. Successful bidders shall retain COAs, accessories, packaging materials, manuals, and related materials together with the artwork and are encouraged to transfer them together with the artwork in secondary market transactions.
4. The Project does not guarantee future value, market price, resale price, liquidity, investment returns, or other economic value of artworks.
Article 14 (Intellectual Property Rights)
The rights transferred to the winning bidder upon the successful bid for or purchase of a work shall be limited to ownership of the work as a tangible object or the right to possess the relevant editioned item. Copyrights, trademark rights, merchandising rights, reproduction rights, adaptation rights, digitization rights, NFT conversion rights, advertising and promotional use rights, and any other intellectual property rights relating to the Original Work, characters, images of the work, the artist’s work, titles, logos, and the like shall not be transferred to the winning bidder. Details shall be governed by Article 11 of the General Terms.
Article 15 (Secondary Market)
1. Successful bidders may resell artworks as lawful secondary market transactions, including collection
management.
However, in order to maintain artwork value, brand protection, and a healthy market
environment, ReVIBES Project may restrict commercial resale of certain artworks, including auction
listings, third-party sales, and resale activities, for six months from the winning or purchase date.
Applicable artworks and conditions shall be separately disclosed on artwork pages or sales pages.
2. In connection with any resale, the winning bidder shall not make any representation or explanation suggesting that copyrights, trademark rights, Original Rights, image usage rights, merchandising rights, or any other intellectual property rights have been transferred to the purchaser. The winning bidder shall also not make any representation or engage in any sales activity that may cause misunderstanding regarding authenticity, edition, provenance, rights relationships, or similar matters.
3. The winning bidder shall not engage in any sales activity in a manner that damages the credibility, reputation, or brand value of the work, the Original Author, rights holders, artists, the ReVIBES Project, or its related entities or parties, nor engage in short-term price manipulation, repeated resale for speculative purposes, or any other resale activity that the Project deems inappropriate based on reasonable grounds.
4. When reselling artworks, proper handling of Certificates of Authenticity (COA), certificates, related materials, and accessories together with the artwork is strongly recommended.
5. The Project may use artwork information, sales records, winning prices, and images for publicity, archives, secondary market support, and market development purposes. However, the Project shall not disclose personal information of successful bidders without consent.
Article 16 (Fraudulent Bidding and Improper Conduct)
If the Project suspects price manipulation, shill bidding, collusion, impersonation, bidding without intent to pay, use of multiple accounts by the same individual, involvement with anti-social forces or sanctioned persons, unauthorized access, system interference, or other fraudulent or improper conduct, the Project may cancel bids or successful bids, suspend use, cancel registration, require identity verification, report to relevant authorities, seek damages, or take other necessary measures.
Article 17 (Disclaimer)
1. Except in cases of intentional misconduct or gross negligence by the Project, the Project shall not be liable for disruptions to bidding, successful bids, payment, shipping, or use of the Auction caused by communication failures, high traffic, system failures, payment failures, shipping issues, external service failures, or User device or network environments outside the Project’s control.
2. The Project may cancel, postpone, resume, restart, or re-conduct auctions, cancel bids, or cancel successful bids where deemed necessary.
Article 18 (Governing Law and Jurisdiction)
These Auction Rules shall be governed by the laws of Japan. Any disputes arising between the Project and Users in connection with the Auction shall be subject to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance.
